1. Acceptance of Terms

By downloading, installing, or using the Nearby mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Nearby Studio ("we," "us," or "our") regarding your use of the App and related services.

2. Description of Service

Nearby is a free social media application that allows users to create, share, and discover events in their local area. The App uses location-based services to connect users with nearby events and other users.

The App is provided "as is" and we reserve the right to modify, suspend, or discontinue the service at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features of the App, you must create an account by providing your email address and name. You are responsible for maintaining the confidentiality of your account information.

3.2 Account Responsibilities

• You must provide accurate and complete information
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use
• You must be at least 13 years old to create an account

4. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload, post, or share content that is:
• Obscene, pornographic, or sexually explicit
• Violent, threatening, or harassing
• Discriminatory or hateful
• False, misleading, or fraudulent
• Infringing on intellectual property rights
• Spam, advertising, or commercial solicitation
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Use automated systems to access the App
• Create multiple accounts for malicious purposes

5. User-Generated Content

5.1 Content Ownership

You retain ownership of content you create and share through the App. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content in connection with the App.

5.2 Content Standards

You are solely responsible for the content you post. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

5.3 Event Safety

When creating or attending events, you are responsible for your own safety and the safety of others. We do not verify the accuracy of event information or the safety of event locations.

6. Location Services

The App uses location services to provide relevant event recommendations and connect you with nearby users. By using the App, you consent to the collection and use of your location information as described in our Privacy Policy.

You can disable location services at any time through your device settings, though this may limit the App's functionality.

7. Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

The App and its original content, features, and functionality are owned by Nearby Studio and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the App will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of event information
• Warranties regarding the safety of events or user interactions

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEARBY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or use
• Personal injury or property damage
• Damages arising from event attendance or user interactions
• Damages arising from the use or inability to use the App

11. Indemnification

You agree to indemnify and hold harmless Nearby Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the App at any time, with or without cause, with or without notice. You may also terminate your account at any time by contacting us.

Upon termination, your right to use the App will cease immediately, and we may delete your account and associated data.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

14. International Use

The App is available worldwide. Users are responsible for compliance with local laws in their jurisdiction. We make no representation that the App is appropriate or available for use in all locations.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in Poland, in accordance with Polish law.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the updated Terms in the App or through other reasonable means. Your continued use of the App after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
